Authorized User shall not sub-license, assign, transfer, distribute or give away this Agreement, the Electronic Publication, any part thereof, or rights therein, without the prior written consent of BISG and AAP. Any attempt by the Authorized User to sub-license, assign or transfer or give away any of the rights, interests, duties or obligations under this license other than as explicitly set forth herein shall constitute a material breach of this Agreement, in which event AAP or BISG shall have the right to terminate this Agreement immediately upon notice to Authorized User.
